These Terms and Conditions of Purchase govern your use of this website (verityresearchlabs.com, the “Web Site”) and every purchase from Verity Research Labs LLC (“Verity Research Labs”, “we”, “us”). Our Privacy Policy, Shipping Policy, Returns & Refunds Policy, and Chargeback Policy are incorporated into these terms. By creating an account or placing an order you agree to them.

1. Research use only

All products are sold strictly for laboratory, academic, and institutional research and identification purposes. They are not intended for human dosing, injection, or ingestion, and are not for human or animal consumption. They are not drugs, food, cosmetics, or dietary supplements, and are not intended to diagnose, treat, cure, or prevent any disease.

By purchasing, you represent that you are at least 21 years old, that you are purchasing for research purposes only, that products purchased shall not be used for human therapeutic purposes, that you have the training and facilities to handle the products safely, and that you will not use, resell, or supply any product for human or animal consumption. We may cancel any order where we have reason to believe these conditions are not met.

2. Eligible customers and accounts

We sell only to researchers purchasing on behalf of laboratories, academic institutions, and research organizations. Med spas, gyms, weight-loss clinics, wellness or anti-aging businesses, compounding or dispensing businesses, and similar consumer-facing businesses are not eligible to purchase, and orders from them will be cancelled and refunded.

An account is required to purchase; we do not offer guest checkout. When ordering you must provide your company or institution name and select your research field. You are responsible for the accuracy of the information you provide and for keeping your account credentials secure. We may suspend or close an account that provides inaccurate information or breaches these terms.

3. No guidance

Product information on this site is technical and descriptive. We do not provide, and nothing on this site constitutes, dosing, usage, medical, or protocol advice.

4. Your use of our Web Site

Unless specified otherwise, your use of this Web Site is governed by these Terms and Conditions and our Privacy Policy. In using this Web Site, you are prohibited from modifying, distributing, transmitting, reproducing, publishing, licensing, transferring, or selling any information, products or services obtained or viewed on this Web Site. However, you may display, download, or print copies of material on this Web Site, such as certificates of analysis, for your own research records, as long as you do not modify the content or delete any copyright, trademark, or other proprietary notice. Any other use of the information on this Web Site is prohibited without our express written consent.

5. Prices, payment, and orders

Prices are quoted in United States dollars and are those shown on this Web Site when we accept your order. Prices and availability may change without notice. Payment must be received before we accept and ship an order. An order is accepted when payment is confirmed and we send confirmation; we may decline or cancel an order before shipment, in which case any payment is refunded in full.

We currently accept payment in cryptocurrency, by bank transfer, and by Zelle.

Cryptocurrency. Payment is made through our payment partner’s secure hosted invoice. The invoice is fixed in US dollars; you choose the coin and pay the equivalent amount shown. Cryptocurrency payments are final once confirmed on the blockchain. An underpaid invoice is not an accepted order until the balance is paid or we refund it.

Bank transfer. When you choose bank transfer, your order is recorded and our bank details are shown to you. You send the order total yourself, by ACH or wire from your own bank account, quoting your order number as the reference. The order is accepted and shipped once the full amount is received. Any fees charged by your bank are yours, and the amount we receive must equal the order total. Orders not paid in full within 7 days are cancelled, and any partial payment is returned to the account it came from.

Zelle. Zelle orders work the same way: our Zelle details are shown after you place the order, and you send the order total from your own bank’s app with your order number in the memo. Zelle payments cannot be reversed once sent, so please check the amount and recipient before sending. The order is shipped once the payment is received, and unpaid orders are cancelled after the same period.

All payments, including any ACH/e-Check payments, are made payable to: Verity Research Labs LLC.

6. Web authorization for ACH/e-Check payments

The following authorizations apply to any order paid by ACH/e-Check.

ACH debit authorization for order payment. Each time I (the customer) place an ACH/e-Check order by clicking the “Place Order” button, I am authorizing Verity Research Labs LLC to initiate a single ACH/electronic debit to my account in the amount of my order from the bank account information provided on the date of my order. I agree that ACH transactions I authorize comply with all applicable law. Payments made after 2 PM Eastern time will be applied as of the next business day. To complete the payment process, click the “Place Order” button. Once payment is authorized, there cannot be any changes or corrections. It is recommended that you print a copy of this authorization and maintain it for your records.

ACH debit/credit authorization for micro-entries used for account validation. Each time I (the customer) place an ACH/e-Check order by clicking the “Place Order” button, I am authorizing Verity Research Labs LLC to initiate a one-time ACH/electronic debit and/or credit entry to my account for a micro amount (less than $1) in order to validate my bank account information provided on the date of my order. I also authorize Verity Research Labs LLC to initiate an ACH credit to recover the amount of a micro deposit. I agree that such ACH transactions comply with all applicable law. Once you click the “Place Order” button, you cannot revoke this authorization. Payments made after 2 PM Eastern time may receive account validation micro entries the next business day. It is recommended that you print a copy of this authorization and maintain it for your records.

7. Use of information

We reserve the right to correct any inaccuracies or typographical errors in the information posted on this Web Site, and shall have no liability for such errors. Information may be changed or updated without notice, and prices and availability of goods and services are subject to change without notice.

8. Product and sale limitations

Products are sold for research use only, as set out in section 1, and only to eligible customers, as set out in section 2. We ship within the United States only and do not ship to any jurisdiction where a product may not lawfully be sold. We may limit quantities, and may refuse or cancel any order, including where we believe a product is intended for human or animal use or for resale for such use.

9. Shipping, returns, refunds, and chargebacks

Shipping is described in our Shipping Policy, returns and refunds in our Returns & Refunds Policy, and payment disputes in our Chargeback Policy. Each forms part of these terms.

10. Trademarks and other intellectual property

“Verity Research Labs” and the Verity Research Labs name and marks are trademarks of Verity Research Labs LLC. All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, artwork and computer code (collectively, “Content”), including the design, structure, selection, coordination, expression, “look and feel” and arrangement of such Content, contained on this Web Site is owned, controlled or licensed by or to us and is protected by copyright, trademark, and other intellectual property and unfair competition laws. Except as expressly provided in these terms, no part of this Web Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including “mirroring”) to any other computer, server, web site or other medium for publication or distribution or for any commercial enterprise, without our express prior written consent.

11. Indemnity

You agree to indemnify and hold Verity Research Labs, and our subsidiaries, affiliates, officers, directors, agents, co-branders, partners, vendors (including payment providers), and employees harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of your use of the content on this Web Site, any content you submit, post, or transmit through this Web Site, your use of this Web Site or of any product purchased from it, your connection to this Web Site, your violation of these terms, or your violation of any rights of another.

12. Links and software

Links from or to websites outside this Web Site, including our payment partner’s hosted payment page, are meant for convenience only. We do not review, endorse, approve or control, and are not responsible for, any sites linked from or to this Web Site, the content of those sites, the third parties named therein, or their products or services. Linking to any other site is at your sole risk, and we will not be responsible or liable for any damages in connection with linking. Use of any software, including cryptocurrency wallets, is governed by the terms of its own license agreement.

13. Availability of our Web Site

This Web Site is generally available twenty-four (24) hours per day, seven (7) days per week. However, we may make it unavailable at any time, for any reason, and for any length of time. By using this Web Site you agree that we will not be liable for any damage arising out of or related to any such interruption, suspension, or termination of this Web Site and/or the services or products offered on it.

14. Information you provide

Our collection and use of any information you provide while using this Web Site is governed by our Privacy Policy and these terms. You may not upload, distribute, or otherwise publish on this Web Site any information which may be viewed as obscene, defamatory, libelous, threatening, abusive, illegal, an invasion of privacy rights, or otherwise objectionable, or which may constitute or encourage a violation of any law. Except for individually identifiable information collected in accordance with our Privacy Policy, any comments, suggestions, or ideas you communicate to us become our property, and you grant us a royalty-free, perpetual, irrevocable, world-wide, non-exclusive license to use or reproduce them, without obligation to compensate you.

15. Disclaimer of warranties

We provide content on this Web Site as a service to you, our customer. This Web Site does not contain information about all applications for products sold. The content of this Web Site, the server that makes it available, and the services and products we provide on this Web Site are provided on an “as is” and “as available” basis without warranty of any kind, whether express, implied or statutory, except that products will conform to their stated specifications and certificate of analysis. To the full extent not precluded by applicable law, we and our advisors, suppliers, vendors, consultants, directors and employees disclaim all other warranties, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. Verity Research Labs and its vendors shall not in any case be liable for any indirect, special, incidental, consequential, or punitive damages, even if advised of the possibility of such damages, nor for any loss arising from use of a product contrary to these terms. Because some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, such limitation may not apply to you.

17. Compliance with law

By using this Web Site you agree to comply with all local, state, and federal laws, statutes, and regulations that relate in any manner to your use of this Web Site and to the purchase, possession, and use of the products offered on it. You are responsible for ensuring that doing so is lawful where you are.

Verity Research Labs and users of this Web Site are independent contractors, and no agency, partnership, employment or other relationship is created or intended by the use of this Web Site.

19. Governing law and jurisdiction

This Web Site is administered from our offices in the State of Florida. These terms and this Web Site are governed by and construed in accordance with the laws of the State of Florida, United States, without giving effect to any principles of conflicts of laws. You remain responsible for complying with the laws of the jurisdiction in which you are located.

20. Consequences of breach

We may suspend or terminate your account if you violate these terms. If your violation causes harm to others, you agree to indemnify and hold us harmless from and against any and all resulting loss, damage, or expense. If any dispute arises between us regarding these terms or your use of this Web Site, it shall first be addressed through good-faith negotiation between the parties.

21. Force majeure

We shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including delays due to backorders, carrier or mail delays, lost shipments, or blockchain network congestion.

22. Entire agreement, severability, and headings

These terms, and the policies incorporated into them, constitute the entire agreement between you and Verity Research Labs relating to your use of this Web Site and your purchases, and supersede any prior understandings or agreements (whether electronic, oral or written). They may be amended only in writing or by our posting an updated version on this Web Site. If any part of these terms is found unenforceable, that part shall be eliminated or limited to the minimum extent necessary, and the remainder shall remain in full force and effect. By checking the “I agree” box and clicking “Place Order” when placing your order, you agree to all of these Terms and Conditions, as well as our Shipping, Returns & Refunds, Chargeback, and Privacy policies.
